These Terms of Service ("Terms") govern your access to and use of the websites, products, and services operated by Lotus Tek Solution ("we", "us", or "our"), including lotusteksolution.com and products such as BookEase. Please read these Terms carefully before using our services.

By creating an account or using any part of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must be at least 18 years old to create an account or use our services. By using our services, you represent that you meet this requirement and that all information you provide is accurate and complete. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Your account

When you create an account, you are responsible for:

• Keeping your login credentials confidential and not sharing them with others.
• All activity that occurs under your account, whether or not authorised by you.
• Notifying us immediately at lts@lotusteksolution.com if you suspect unauthorised access to your account.

You may not create accounts using false information, impersonate another person, or create accounts for others without their knowledge and consent.

3. Acceptable use

You may use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services for any illegal activity or in violation of applicable laws or regulations.
• Upload or transmit content that is harmful, offensive, defamatory, obscene, or that infringes any third-party rights.
• Attempt to gain unauthorised access to any part of our systems, other user accounts, or related networks.
• Use automated tools (bots, scrapers, crawlers) to access our services without our prior written permission.
• Interfere with or disrupt the integrity or performance of our services or the data contained within.
• Transmit spam, phishing attempts, or any unsolicited commercial communications through our products.
• Resell, sublicense, or provide access to our services to third parties without our prior written consent.

4. Your content

Our services allow you to upload, store, and manage content such as business information, service descriptions, staff profiles, and customer data ("Your Content"). You retain ownership of Your Content. By uploading it, you grant us a limited, non-exclusive licence to store and process it solely to provide the services to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You warrant that you have the necessary rights to upload Your Content and that it does not violate any third-party rights or applicable law.

5. Your customers' data

When you use products like BookEase, your customers' personal information is processed through our systems. You are responsible for:

• Having a lawful basis to collect and process your customers' data.
• Informing your customers how their data will be used (e.g. for booking confirmations and reminders sent via our platform).
• Complying with applicable data protection laws in your jurisdiction.

We process your customers' data as a data processor on your behalf, in accordance with our Privacy Policy.

6. Free plans and paid plans

Some of our products offer a free tier with usage limits (for example, BookEase's free plan includes up to 20 bookings per month). Free plans are provided at our discretion and may be modified or discontinued at any time with reasonable notice.

Paid plans are billed in advance on a monthly or annual basis. Pricing is displayed at the time of purchase. All fees are non-refundable unless required by law or stated otherwise in a specific product's terms. We reserve the right to change pricing with at least 30 days' notice.

7. Intellectual property

All content, design, software, trademarks, logos, and branding on our website and within our products (excluding Your Content) are the property of Lotus Tek Solution or our licensors and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any part of our services without our prior written permission. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use our services as described here.

8. Third-party services

Our products may integrate with or link to third-party services (such as payment processors or calendar providers). These integrations are provided for your convenience. We are not responsible for the content, privacy practices, or reliability of any third-party services. Your use of third-party services is governed by their own terms and policies.

9. Service availability

We aim to maintain high availability for our services but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any loss or inconvenience caused by downtime or service interruptions.

10. Disclaimer of warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our services will be error-free, secure, or free of viruses or other harmful components.

11. Limitation of liability

To the maximum extent permitted by applicable law, Lotus Tek Solution and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of, or inability to use, our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or our services shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Lotus Tek Solution and its owners, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, Your Content, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may close your account at any time by contacting us at lts@lotusteksolution.com.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behaviour, or if required by law. Upon termination, your right to use our services ceases immediately. We will delete your data in accordance with our Privacy Policy.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Lotus Tek Solution operates, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

15. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email where required. Your continued use of our services after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using our services.
